Terms & Conditions

1. Introduction

These Terms and Conditions (“Terms”) govern the use of the website webdevelopmentagency.com.au (the “Site”) and any web development services (“Services”) provided by Web Development Agency (“we”, “us”, “our”). By engaging our Services or using the Site, you (“client”, “you”) agree to these Terms.

2. Quotes and Proposals

Quotes provided are estimates based on the information and scope you provide at the time. Any changes to scope, features, or requirements after a quote is accepted may result in a revised quote. Quotes are valid for the period stated in the proposal, or if unstated, for 30 days.

3. Payment Terms

Projects are payable as a deposit upfront, with the balance due on completion, unless otherwise agreed in writing for a specific project. Work will not commence until the deposit is received, and final deliverables (including source files, hosting access, or domain transfer) will not be released until the balance is paid in full.

Any third-party costs, such as domain registration, hosting, licensed plugins, stock imagery, or paid software, are separate from our fees unless explicitly included in your quote, and remain payable by you directly or reimbursable to us.

4. Client Responsibilities

To deliver your project on time, we rely on you to:

  • Provide content, branding assets, logins, and feedback within agreed timeframes
  • Respond to requests for approval or clarification in a timely manner
  • Ensure any content or materials you provide do not infringe third-party rights

Delays caused by late content, feedback, or approvals may extend the project timeline accordingly.

5. Revisions

Projects typically include an agreed number of revision rounds as set out in your proposal. Additional revisions or changes outside the agreed scope may be quoted separately.

6. Ownership and Intellectual Property

On receipt of full and final payment, ownership of the final website and custom code developed specifically for your project transfers to you. This does not include:

  • Third-party themes, plugins, frameworks, stock assets, or licensed software, which remain subject to their own licence terms
  • Our own pre-existing tools, snippets, or general-purpose code libraries not created specifically for your project, which we may continue to use in other work
  • Until full payment is received, all work remains our property.

We may request to display completed projects in our portfolio and marketing materials, unless you ask us not to in writing.

7. Refunds and Cancellation

If you cancel a project, any work already started or delivered is non-refundable. A refund applies only to the portion of fees paid for work that has not yet started or been delivered at the time of cancellation. If you wish to cancel a project, please contact us in writing as soon as possible.

8. Timelines

Project timelines provided are estimates. While we aim to meet agreed deadlines, timelines may be affected by factors outside our control, including delays in receiving content or feedback from you, or third-party service issues (e.g. hosting providers).

9. Warranties and Liability

We take reasonable care and skill in providing our Services. However, to the extent permitted by law:

  • We do not warrant that the Site or any website we build will be uninterrupted, error-free, or fully secure from all threats
  • We are not liable for indirect, incidental, or consequential loss arising from use of our Services or the Site
  • Nothing in these Terms excludes any consumer guarantee or right under the Australian Consumer Law that cannot lawfully be excluded

10. Confidentiality

We will keep confidential any non-public business information you share with us for the purposes of the project, and will not disclose it to third parties except as needed to deliver the Services or as required by law.

11. Third-Party Services

Where a project involves third-party platforms (e.g. hosting providers, payment gateways, CMS platforms, plugins), your use of those services is also subject to that provider’s own terms, and we are not responsible for their performance, pricing changes, or outages.

12. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Continued use of our Services after changes are posted constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of New South Wales, Australia, and any disputes will be subject to the exclusive jurisdiction of the courts of that State/Territory.
